S\u00f5lmitud jagunemiskava j\u00f5ustub peale seda, kui selle on heaks kiitnud \u00fcldkoosolek, mille kokkukutsumise teade avaldatakse v\u00e4hemalt \u00fcks kuu enne koosoleku toimumist. <br \/><br \/> Jagunemise tulemusena antakse kogu AS Viisnurga praegused varad ja \u00e4ritegevus \u00fcle uuele jagunemise k\u00e4igus asutatud \u00fchingule (Uus Viisnurk), samas kui Niidu Piirkond (ja sellega seotud kohustused) j\u00e4\u00e4b praeguse AS Viisnurga omandisse (Niidu Piirkonda hakkab AS Viisnurk omama 100% t\u00fctarettev\u00f5tja, O\u00dc VN Niidu Kinnisvara kaudu). Kogu muu vara ja praeguse m\u00f6\u00f6bli- ja ehitusmaterjalide \u00fcksuste tegevusega seotud vara ja \u00e4ritegevus antakse \u00fcle Uuele Viisnurgale, kaasa arvatud AS Viisnurgale kuuluv P\u00e4rnu j\u00f5e \u00e4\u00e4rne kinnisvaraarendusprojekt (asukohaga R\u00e4\u00e4ma 31, P\u00e4rnu). Jagunemise j\u00e4rgselt on Uue Viisnurga \u00e4rinimi AS Viisnurk ja praegune AS Viisnurk \u00e4rinimi muudetakse AS-ks Trigon Property Development. <br \/><br \/> Jagunemine viiakse l\u00e4bi asendussuhtega \u00fcks \u00fchele (1:1), s.t. et iga AS-i Viisnurk aktsion\u00e4r omandab sama arvu aktsiaid Uues Viisnurgas. AS Viisnurk aktsiakapital j\u00e4\u00e4b samaks nagu see on k\u00e4esoleval hetkel, s.t. 44\u00a0990\u00a0610 EEK, mis koosneb 4\u00a0499\u00a0061 aktsiast nimiv\u00e4\u00e4rtusega 10 EEK aktsia. Samuti on Uue Viisnurga aktsiakapital 44\u00a0990\u00a0610 EEK, mis koosneb 4\u00a0499\u00a0061 aktsiast nimiv\u00e4\u00e4rtusega 10 EEK aktsia. Uue Viisnurga aktsiakapitali eest tasutakse AS Viisnurga varaga, mis antakse \u00fcle jagunemise k\u00e4igus. Uue Viisnurga aktsiaid saama \u00f5igustatud aktsion\u00e4ride nimekiri fikseeritakse eeloleva \u00fcldkoosoleku poolt m\u00e4\u00e4rataval kuup\u00e4eval. <br \/><br \/> AS Viisnurk praeguse enamusaktsion\u00e4ri ja juhatuse plaanide kohaselt kavatseb Uus Viisnurk taotleda viivitamatult aktsiate noteerimist Tallinna B\u00f6rsil, esimesel v\u00f5imalusel peale jagunemise \u00e4riregistrisse kandmist. K\u00e4esoleval hetkel on noteerimisprotseduur koosk\u00f5lastamisel Tallinna B\u00f6rsiga, mis tehakse peatselt teatavaks. <br \/><br \/> Jagunemise p\u00f5hjused ja tulevikuplaanid <br \/><br \/> Jagunemise p\u00f5hjuseks on luua aktsion\u00e4ridele lisav\u00e4\u00e4rtust, eraldades AS Viisnurk omandis oleva suure kinnisvaraprojekti l\u00e4bi noteeritud kinnisvaraarendus\u00fchingu &#8211; AS-i Trigon Property Development- loomise. Juhatuse praeguseks plaaniks on s\u00f5lmida kinnisvaraarenduse juhtimisleping AS Trigon Property Development ja AS Trigon Property Advisors (asutamisel) vahel, kindlustamaks juhtimislepingu alusel kinnisvaraarenduseks vajalikud juhtimisressursid ja know-how. AS Trigon Property Development kavatseb suurendada kinnisvarainvesteeringute portfelli, kaasates esiteks uusi kinnisvaraarendusprojekte Kesk-ja Ida-Euroopa piirkonnas, mis on praeguseks juba teada ja hetkel juhitavad AS Trigon Capital kinnisvaraarenduse osakonna poolt. Projektide kaasamised viiakse l\u00e4bi s\u00f5ltumatute hinnangute alusel, mis tehakse avalikult teatavaks. \u00dckski AS Trigon Property Development poolt hetkel kaalutav kinnisvaraarendusprojekt ei ole suunatud Balti kohaliku elamuturu kliendibaasile. Teiseks kavatseb AS Trigon Property Development l\u00e4bi viia olulise rahvusvahelise kapitali kaasamine, rahastamaks eelnimetatud laienemist. V\u00f5imalike huvitatud investoritega peetakse hetkel l\u00e4bir\u00e4\u00e4kimisi. T\u00e4iendav informatsioon kinnisvaraarendustegevuse ja juhatuse liikmete kohta, kes hakkavad juhtima AS-i Trigon Property Development, avalikustatakse peatselt. \u00dclo Adamson, Joakim Helenius\u00a0ja Gleb Ognyannikov j\u00e4tkavad praeguse AS Viisnurga, tulevase AS-i Trigon Property Development n\u00f5ukogu liikmetena. <br \/><br \/><br \/> Kogu praegune AS Viisnurga \u00e4ritegevus antakse \u00fcle Uuele Viisnurgale, mis j\u00e4tkab m\u00f6\u00f6bli jaem\u00fc\u00fcki ning m\u00f6\u00f6bli- ja ehitusmaterjalide tootmist. Uus Viisnurk j\u00e4tkab tegevust koosk\u00f5las jagunemise eelselt teatavaks tehtud tegevusstrateegia ja \u2013plaanidega, kaasa arvatud viies l\u00f5pule k\u00f5ik planeeritud investeeringud ja j\u00e4tkates kavandatud laienemist. Andres Kivistik (esimees), Erik Piile ja Einar P\u00e4hkel saavad Uue Viisnurga juhatuse liikmeteks.
